Zee shareholders approve ₹2,237 crore promoter fund infusion via warrants


Shareholders of Zee Entertainment Enterprises Ltd. have approved a ₹2,237 crore capital infusion by its promoter group through the preferential allotment of fully convertible warrants, the company said in an exchange filing on Thursday. The resolution saw support from around 60% of shareholders who participated in the vote.

The approval marks a key development for promoters Subhash Chandra and Punit Goenka, months after shareholders had rejected Goenka’s reappointment to the board in December 2024, citing governance concerns.

The resolution passed largely due to strong support from retail investors, 80% of whom voted in favour, while institutional investors remained divided—52% voted against and 48% supported the move.

Retail shareholders currently hold over 40% in the company.

“The Board and the management… are grateful for their support. The Board and the management also respect the decision taken by the remaining shareholders,” the company said.

Zee said it remains focused on building financial resilience and strengthening performance across core business segments, including digital, under the oversight of its board.
